Effective [EFFECTIVE DATE]
01Who we are and what Auni is
These terms are an agreement between you and [COMPANY LEGAL NAME], the operator of Auni (“Auni”, “we”, “us”), registered at [REGISTERED COMPANY ADDRESS]. Auni is a conversational interface to your own self-custodial crypto wallet: you describe what you want in plain language, Auni turns it into an exact, reviewable on-chain action, and nothing is submitted until you approve it.
By creating an account or using Auni you agree to these terms, our Privacy Policy, and our Risk Disclosure. If you do not agree, do not use Auni.
02Your wallet, your keys, your approvals
Auni is non-custodial. Your wallet is an embedded wallet created through our authentication provider, Privy; its keys are secured for you and we never hold your funds or spend them on our own authority.
Every action that moves money requires your explicit approval of an exact, human-readable review that binds the amount, destination, and outcome bounds. Approving that review authorizes that specific action and nothing else. Automations you create act only within standing limits you configured, and anything outside those limits comes back to you for a fresh approval.
Blockchain transactions are irreversible. Once an action you approved is confirmed on-chain, neither you nor we can undo it.
03Eligibility
You must be at least 18 years old and legally able to enter this agreement. You must not use Auni if you are located in, or a resident of, a jurisdiction where using it would be unlawful, or if you are subject to sanctions or on any restricted-party list.
Some venues Auni connects to enforce their own regional restrictions and may refuse orders based on where you are. Those restrictions are theirs, and Auni does not help you evade them.
04Not financial advice
Auni provides information, suggests how to allocate the money it can reach, and executes the instructions you approve. Nothing Auni says — including any allocation, percentage, dollar split, or position size it suggests — is investment, legal, accounting, or tax advice, and Auni is not a broker, dealer, financial adviser, or bank. No suggestion is a recommendation from a licensed adviser, reviewed by one, or a statement that it suits your circumstances, and Auni does not know your full financial position. Market data, odds, yields, and projections shown in the product are informational and can be wrong, stale, or incomplete. Decisions are yours.
05Third-party protocols and services
Actions execute against third-party protocols and venues that we do not own or control: the Aave lending protocol on Monad, Hyperliquid for perpetual futures, Polymarket for prediction markets, Uniswap for spot-token and liquidity actions on supported EVM chains, Jupiter for spot tokens and tokenized stocks on Solana, and the Across protocol when USDC has to move between chains. Their smart contracts, rules, fees, resolution decisions, and availability are theirs. What they charge for their own service is separate from what we earn: Across takes its own relayer fee on a bridge transfer, and that fee is theirs. A venue is only enabled in Auni after we verify the deployment we integrate with, but verification is not a guarantee that a third-party protocol is free of defects.
Some of these venues enforce their own regional restrictions and may refuse your orders based on where you are. Those restrictions are theirs to apply, and Auni will not help you work around them.
Tokenized stocks are issued by third parties, not by us. A tokenized stock token is a claim against its issuer under that issuer's terms — not a share, and not a brokerage position. We are not your broker, we do not hold securities for you, and we make no promise about whether an issuer will honour a redemption.
06Fees
There is no subscription and no account fee, and we add no markup to network fees or to the rates a protocol pays you. This is what Auni earns on each thing you can do:
- Auni takes a builder fee on Hyperliquid perp orders. The current rate is 5 basis points of order value, 0.05%, and a single signed approval caps any builder fee at 0.1%.
- On tokenized stock orders, Auni takes 50 basis points, 0.5%, through Jupiter's referral program, and the order refuses to execute unless the venue confirms exactly that fee.
- Auni takes a builder fee on Polymarket orders through its builder code. The rate is 50 basis points of order value, 0.5%, on both sides of the book, and Auni will not place an order the venue reports a higher builder fee for.
- Aave savings carry no Auni fee. The yield is paid by borrowers, and Auni takes no cut of it. Auni's public builder code is attached to the on-chain transaction as attribution, and it takes nothing from the deposit or the yield.
The action widget is the authority on what that specific action costs. Where a figure in its Details differs from the rates above, the figure in the widget is the one that applies.
Those bullets are the whole of what Auni earns. Network fees (gas) and the fees the venues and the bridge charge for their own service are charged by them, not by us, and they are separate from anything listed above. We may change our fees, and we will say so clearly in the product before a change affects you.
07Early-access software, no guarantees
Auni is early software under active development. It is provided “as is” and “as available”, without warranties of any kind, express or implied. We do not promise uninterrupted availability, and a venue that cannot operate under verified authority will refuse to act rather than guess.
We may add, change, suspend, or remove features, and may suspend or terminate accounts that break these terms or abuse the service. You can stop using Auni at any time; because your wallet is self-custodial, your funds remain yours and withdrawable regardless of your account status with us, subject to on-chain conditions.
08Acceptable use
You agree not to:
- use Auni for money laundering, terrorist financing, sanctions evasion, fraud, or any unlawful purpose;
- attempt to break, probe, overload, or interfere with the service, other users, or the signing infrastructure;
- attempt to manipulate the AI assistant into acting outside your approvals or another user's authority;
- resell or provide the service to third parties as your own, or use it on behalf of someone who could not use it themselves under these terms.
09Assumption of risk
You use Auni entirely at your own risk. You are solely responsible for every action you approve, every automation you configure, and every decision you make with information the product shows you. By using Auni you accept full responsibility for all outcomes of on-chain activity conducted through your wallet — including total loss of funds — and you agree that we owe you no fiduciary, advisory, or custodial duty of any kind.
Before using Auni you must read the Risk Disclosure. If any risk described there is unacceptable to you, do not use the service.
10Limitation of liability
To the fullest extent permitted by applicable law, Auni and its operator, developers, and contributors are not liable to you for any damages of any kind — direct, indirect, incidental, special, consequential, punitive, or exemplary — including loss of funds, profits, data, or goodwill, arising from or related to the service. This includes, without limitation, losses caused by third-party protocols or venues, smart-contract failures, stablecoin de-pegs, network failures or congestion, market movements, mistaken or incomplete information produced by the AI assistant, service errors or downtime, unauthorized access resulting from compromise of your own accounts or devices, and actions you approved.
If, despite the above, liability is found to exist, our total aggregate liability to you for all claims combined is limited to the greater of USD $100 or the amounts you paid us for the service in the twelve months before the first claim. Where applicable law does not allow a particular exclusion or limitation, our liability is limited to the smallest amount that law permits, and every other part of this section remains in effect.
11Indemnity
You agree to indemnify and hold harmless Auni and its operator, developers, and contributors from any claims, damages, losses, and expenses (including reasonable legal fees) brought by any third party arising out of your use of the service, your violation of these terms, your violation of any law, or your infringement of anyone's rights.
12Disputes
If you have a dispute with us, contact us first and give us thirty days to resolve it informally — most issues are fixed fastest this way.
Any dispute you bring must be brought individually, in your own capacity. To the fullest extent permitted by law, you waive any right to participate in a class action, collective action, or representative proceeding against us.
These terms are governed by the laws of [GOVERNING JURISDICTION], without regard to conflict-of-law rules, and disputes are subject to the exclusive jurisdiction of the courts of [GOVERNING JURISDICTION]. Nothing here removes any right you have under the mandatory consumer-protection law of the country you live in. If any provision of these terms is found unenforceable, it is limited or removed to the minimum extent necessary and the rest remains in full effect.
13Changes and contact
We may update these terms as the product evolves. Material changes will be announced in the product or by email before they take effect, and continuing to use Auni after that means you accept them.
